We also advise on public procurement law, assisting our clients (both public and private) with the award and execution of public contracts, in particular complex public contracts and partnership contracts (PPP), and concessions, in particular public service delegations (DSP).

Examples of Support

Support in Structuring a Partnership

We advised a public financial institution on structuring a partnership with a British investment fund, including due diligence, M&A aspects, and real estate and construction law related to the development and operation of a seaside resort. This included drafting and negotiating contractual documentation such as investment agreements, representations and warranties, shareholders’ agreements, general terms of financial instruments, project company bylaws, promotion contracts, lease agreements, and hotel management contracts.

Advice Regarding an International Sports Competition

We were engaged by a banking group acting as an acquirer of electronic payments for a contest (the “Contest”) during an international sports competition for merchants using electronic payment terminals (EPTs). We analyzed the duration of the transition for merchants participating in the Contest and identified key concerns arising from discrepancies between the Contest’s duration, the transition period for merchants to adopt the new payment system, and the timeline for financial incentives provided by the organizer to our client in connection with the Contest. We proposed contractual adjustments and verified factual data with Visa.

Review of a PPP Contract in Africa

We reviewed a public-private partnership (PPP) contract between the Republic of Niger and a technology development company regarding the development of a single-window platform for foreign trade. Our review included analyzing the compliance of the PPP contract, assessing contractual balance, and evaluating the project’s profitability for both parties.

Advice on the Construction of a Factory

We advised a cosmetics group on the construction of their new factory in France. Our services included assistance with project setup, drafting APS and APD contracts, assisting in the preparation of the real estate promotion contract, and addressing issues related to early availability and pre-completion works.
