Examples of support

We assisted a financial institution in negotiating a partnership with a British investment fund for the development, construction, and operation of a major tourist complex. Our support included advice on partnership structuring, due diligence, and the M&A and real estate aspects of the transaction. This covered drafting and negotiating contractual documentation, including the investment agreement, representations and warranties, shareholders’ agreement, terms and conditions of financial instruments, project company bylaws, development contract, lease agreement, and hotel management agreement.

We supported a client, owner of one of the largest vineyards in France, in diversifying its activities by transforming one of its properties—initially structured as an office building—into a five-star hotel with a gourmet restaurant, to be leased to an American investment group specializing in luxury hotel complexes.
We structured the operation (legal, corporate, and tax aspects) and assisted the client in negotiating and drafting the associated documents, including the commercial lease for premises under construction, the project company’s bylaws, the hotel management agreement, the product marketing agreement, the restructuring work contract, and the acquisition of parking spaces in collaboration with the city hosting the project.

We advised a French public institution responsible for overseeing and coordinating works for the Paris 2024 Olympic and Paralympic Games regarding public subsidies provided for the renovation and construction of around thirty Olympic and Paralympic facilities.
We supported our client in the process of notifying these public subsidies to the European Commission, working closely with the Prime Minister’s Office (General Secretariat for European Affairs).
