Advice and Assistance on Real Estate Acquisition

We advised and assisted two public financial institutions in a financial and operational partnership with a local authority, including the acquisition of a portfolio of real estate and hotel assets (business premises and commercial funds – 7 hotels), 2 restaurants, and vineyards located in France. This involved drafting and negotiating corporate and real estate documentation (hotel management contract, delegated project management contract).

Assistance in a Real Estate Dispute

We assisted and represented our client, a Belgian developer, in several disputes with a former tenant, subject to a collective procedure (action for payment of rent (Covid-19 incidents) and repair costs. Several enforcement measures were initiated against the guarantor.

Assistance in Real Estate Activity Diversification

We assisted our client, the owner of one of the largest vineyards in Burgundy (France), in diversifying their activity by transforming one of their properties into a five-star hotel with a gourmet restaurant. This involved leasing the property to a group of American investors led by the CEO of a California-based company specializing in luxury beach resorts, hotel, and restaurant projects worldwide. We implemented the structuring of the operation (legal, corporate, and tax aspects) and are currently assisting our client in negotiating and drafting the related documentation. This includes the commercial lease of future completed premises, the articles of association of the project company, the hotel management contract for the operation of the hotel/gourmet restaurant, the contract for the distribution of products marketed by our client, the delegated work contract for the restructuring work, and the acquisition of parking spaces for the hotel operation in collaboration with the local authority.

Advice on the Sale of a Production Site

We advised our client, one of the leading producers of automotive and plastic coatings owned by a Japanese manufacturer with subsidiaries worldwide, on the sale of their approximately 50,000 m² production site. We are currently assisting our client with the associated planning and decontamination issues, as well as negotiating and drafting the related documentation (several agreements such as a memorandum of understanding including a non-disclosure agreement and commitment to sell, etc.). In the context of this sale, we are also assisting our client with the procedure to cease their activity under the regulations for Classified Installations for Environmental Protection and their interactions with the administration.

Assistance in Mortgage Financing

We assisted lenders in setting up mortgage financing of several tens of millions of euros for the acquisition and construction work of a gigafactory for battery manufacturing by a green energy sector player.
