De Gaulle Fleurance & Associés advised Société Générale and SMBC with the financing of the public-private partnership relating to the detour road in Troissereux (Oise, France)

The grouping led by Colas has been awarded the Troissereux PPP contract, financed by Société Générale and SMBC.   D3 – a special purpose vehicle – consisting of Colas Nord-Picardie (a subsidiary of Colas), DTP Terrassement, Bouygues TP Régions France (subsidiaries of Bouygues Construction), and LIRI (a 100% indirect subsidiary of HICL Infrastructure Company Limited), signed on 13 January 2014 a 25 year partnership agreement with the French Oise département relating to the financing, design, construction, maintenance and operation of the said detour road.   Works consist mainly in the construction of a 7km long two-lane road, 4 engineering structures as well as a covered cutting (for an initial investment amounting to 62 million Euros).   De Gaulle Fleurance & Associés assisted the lenders (Société Générale and Sumitomo Mitsui Banking Corporation Europe Limited) in the drafting and implementation of the financing documentation as well as with respect of all public law issues arising from the project (Sylvie Perrin, Arnaud Troizier, Jonathan Souffir and Agnès Macaire).   HICL was advised by Fidal (Jean-Sébastien Oriou and Flore Jambu-Merlin, assisted by Jean L’Homme and Paul Dabat).   White & Case (Paule Biensan, partner) advised SMBC NIKKO Capital Markets Limited in its capacity as hedging bank.   The French Oise département was advised by Seban & Associés (Marie-Hélène Pachen-Lefèvre, Alexandre Vandepoorter and Maeva Guillerm), whereas entities attached to the Bouygues group resorted to their own internal legal team.
