Distribution – Retail

We work on a diverse variety of issues brought on by the economic framework of relationships between suppliers and distributors. We advise and represent both manufacturers with the implementation and management of their distribution channels, as well as specialised or general distributors, franchisors or franchisees.

An important part of our business is dedicated to addressing issues relating to distribution via the internet, whether this involves advising pure players or players looking to diversify their means of trade.

We have thus been involved in the following cases:

  • Advice to a publisher in order to develop its digital distribution policy and protect its intellectual property rights, and development of broadcasting contracts.
  • Design of the distribution system to be implemented on behalf of an industrial player, taking into account the existing tax and regulatory restrictions.
  • Support of an industrial player with the reorganisation of its distribution network and management of the outstanding litigious matters brought forward by distributors.
  • Representation of a company that was accused by the DGCCRF (General Directorate for Fair Trading, Consumer Affairs and Fraud Control) of non-compliance with certain LME rules, including not meeting standards as stipulated in the Single Convention.
  • Evaluation under European competition law of a drafted distribution contract combined with a R&D agreement for an innovative product in the energy sector.
  • Assistance of a toy distributor in the framework of proceedings before two national jurisdictions within the European Union, following the termination of a renowned brand.
  • Dispute concerning the termination of business relationships.
  • Implementation of all pre-contractual and contractual formalities required for a franchise system.
  • Sales and lease back for a large retail group restructuring its organisation in France.
